Lowest Fees in the Industry, BY FAR
Typical brokerage fees range between 4% and 6% of transaction value for multi-doctor practices. VV Connect offers brokerage fees ranging from 1.5% to 4.125% for multi-doctor practices. Our Process
Select your Engagement
Choose either Full Service Brokerage or Discount Brokerage, each with a choice of a fast, moderate or deliberate sale process tempo.
Solicit Buyer Interest
Create and present an anonymized practice information “teaser” to all pre-qualified purchasers of veterinary practices. Solicit preliminary buyer interest.
ID NDA / Buyer Engagement
Review information about all interested buyers. Select prospective buyers to which an ID NDA preventing the disclosure of the identity of the practice will be provided for their execution. Disclose the practice identity to all prospective buyers that execute this ID NDA, and allow buyers to engage in your practice sale process.
Data NDA / Practice Investment Presentation (“PIP”)
Select which engaged prospective buyers you wish to provide with a Data NDA, which prevents the disclosure of information shared between the practice and each prospective buyer and prohibits the solicitation of practice employees by each prospective buyer. Share with each buyer that executes this Data NDA the Practice Investment Presentation, a detailed presentation of the practice from an investment perspective. Review any new materials about the buyer provided, subject to this Data NDA, by the buyer. Allow buyers to confirm (or discontinue) their engagement in your practice sale process, by providing to you a preliminary indicative valuation range for your practice.
Financial Model
Select which engaged prospective buyers you wish to provide with the Detailed Financial Model for your practice. The disclosure of the information contained within this model, along with the information contained within the PIP, is prohibited by the Data NDA executed in the previous step. Allow prospective buyers to confirm (or discontinue) their continued engagement in your practice sale process by providing you with an updated indicative valuation range for your practice.
Buyer Meetings
Create, and share with your selected engaged prospective buyers, your meeting availability schedule. This schedule will include availability for in-person and/or virtual meetings utilizing the platform’s virtual meeting interface. Allow buyers to book meetings within your scheduled available blocks of time. Meetings typically last 2-4 hours each and may be conducted, at least in part, as a lunch or dinner meeting.
Solicit & Review Offers / Select Offer
Solicit the submission of a non-binding Letter of Intent (“LOI”) by each engaged prospective buyer by the specified deadline. Review LOI submissions and the comparative analysis provided by VetValue. Select and execute which, if any, LOI you wish to pursue. Enter into a multi-month exclusivity period, in which the selected buyer will perform its due diligence review and negotiate and draft, with you and your legal counsel, definitive transaction documentation based upon the non-binding LOI and other communications codified in the platform between you and the buyer.
Post LOI Due Dilligence
VV Connect provides an organized, virtual data room to efficiently support the due diligence process between buyer and seller. You, as the Seller, have an opportunity to begin populating this data room with the necessary data and documents well in advance of executing an LOI, easing and distributing the burden on you of the Due Diligence process.
Deal Close
VetValue will coordinate with the you and your outside legal counsel, as well as the buyer, to develop a Flow of Funds closing document, including information regarding all wire transfers to be executed at closing.
